Insulation Corporation of America sells to Wynnchurch Capital

Learn how Baker Tilly Capital worked with Insulation Corporation of America (ICA) to develop a sale process and positioning strategy for the business.

Client need

Insulation Corporation of America (ICA) is a second-generation, family-owned business. ICA manufactures and distributes expanded polystyrene (EPS) foam and EPS products for applications including building insulation, infrastructure construction and packaging. The company operates a state-of-the-art manufacturing plant with unutilized manufacturing capacity and maintains a fleet of trucks and trailers to provide shipping services.

Baker Tilly Capital solution

Baker Tilly Capital worked closely with the ICA team to develop a sale process and positioning strategy for the business. ICA’s owners wanted to identify a partner that would continue to build on the company’s legacy and shared similar core values of quality and customer service. Baker Tilly Capital tailored a targeted marketing process with a focus on strategic and financial buyers, based on the owners’ preferences. For the clients, it was very important to have a sell-side process where potential disruption to the business was minimized and confidentiality was maintained throughout the process.

Results

Wynnchurch Capital emerged as the buyer of choice after they acquired Drew Foam, their first acquisition in the EPS foam industry. ICA was a strong geographical fit for Drew Foam, expanding their footprint from the Southeast to the Northeast.
